Terms of Service.

The terms on which TBS Group provides this website, its software products, and its technology services.

Effective date: 21 September 2026  ·  Last updated: 21 September 2026

1. Who these terms are with

These terms are an agreement between you and TBS Group FZE LLC (“TBS Group”, “we”, “us”), a free zone entity registered with Ajman NuVentures Centre Free Zone, Government of Ajman, United Arab Emirates, under trade licence number 2627013747888, registered office Office BC-891261, 26th Floor, Amber Gem Tower, Sheikh Khalifa Street, Ajman NuVentures Centre Free Zone, Ajman, United Arab Emirates.

By using this website, or by using any TBS Group product or service, you accept these terms. If you do not accept them, do not use them.

Where a signed agreement, order form, statement of work or service level agreement exists between us, that document governs, and these terms apply only to anything it does not cover.

2. What we provide

TBS Group provides software products — including ERP Suite, Smart AI Platform, Smart Mail AI, Tax AI and E-Invoicing — together with technology services including custom software development, AI solutions, hosting, IT consultancy and support.

Descriptions on this website are for information. They are not an offer, and they do not form part of any contract unless repeated in a signed agreement.

3. Accounts

4. Acceptable use

You must not use our website, products or services to:

Where you use a messaging, email or social media integration, you are also bound by the rules of the platform concerned. Breaching those rules is a breach of these terms.

5. Your data and your content

You keep ownership of your data and your content. You grant us only the licence needed to host, process, transmit, back up and display it in order to provide the service.

You are responsible for having the right to provide any personal data you put into our systems, and for having any consent or lawful basis required. Where we process personal data on your behalf, we do so under our Privacy Policy and any data processing agreement between us.

6. Our intellectual property

Our software, source code, designs, documentation, trade marks and the content of this website remain the property of TBS Group or its licensors. Nothing in these terms transfers ownership. You receive a non-exclusive, non-transferable right to use the service for your own business for as long as your subscription or agreement is in force.

Custom development is governed by its own statement of work, which states what is transferred and what is retained.

7. Artificial intelligence

Some features use AI models to read, classify, summarise or generate content.

8. Third-party services

Our products connect to services we do not control — messaging platforms, email providers, social networks, payment gateways, tax authorities and accredited service providers.

Those services have their own terms and their own availability. We are not responsible for their acts, omissions, outages or changes, including a change that removes a capability our software relies on.

9. Fees

10. Availability and support

We work to keep services available and to restore them quickly when they are not, but we do not guarantee uninterrupted service unless a service level agreement says so in writing.

Planned maintenance is notified in advance where practical. Emergency maintenance may be carried out without notice where security or stability requires it.

11. Compliance is yours

Our software can help you meet a regulatory obligation. It does not discharge it.

You remain responsible for your own tax, accounting and regulatory compliance, including the accuracy and completeness of anything filed or transmitted. Where a service transmits data to an authority or an accredited service provider, you are responsible for the accuracy of the underlying records.

TBS Group is a software provider. Unless we state otherwise in writing, we are not an accredited service provider under any e-invoicing framework, and we do not act as your tax agent.

12. Disclaimer

Except where expressly stated in a signed agreement, our website, products and services are provided “as is” and “as available”. To the fullest extent the law permits, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be error-free, that defects will be corrected, or that output will be accurate or complete.

13. Limitation of liability

To the fullest extent the law permits, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill, business or anticipated savings, however caused.

Our total aggregate liability arising out of or in connection with these terms is limited to the total fees you paid to us in the twelve months immediately before the event giving rise to the claim.

Nothing in these terms limits liability that cannot be limited under UAE law, including liability for fraud.

14. Indemnity

You will indemnify us against claims, losses and reasonable costs arising from your use of the service in breach of these terms, from content you upload, or from your failure to hold the rights or consents required for data you provide.

15. Confidentiality

Each party will keep the other’s confidential information confidential, use it only to perform this agreement, and protect it with at least reasonable care. This survives termination.

16. Term and termination

17. Force majeure

Neither party is liable for failure to perform caused by an event beyond its reasonable control, including natural disaster, war, civil unrest, government action, utility or network failure, or the failure of a third-party service on which performance depends.

18. Changes to these terms

We may update these terms. The effective date at the top will change, and material changes will be notified to account holders in advance by email or in the product. Continuing to use the service after that means you accept the revised terms.

19. Governing law

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Ajman. The courts of Ajman have exclusive jurisdiction over any dispute, without prejudice to either party’s right to seek injunctive relief in any competent court.

20. General

If any provision is held unenforceable, the rest remains in force. A failure to enforce a right is not a waiver of it. You may not assign these terms without our written consent; we may assign them to a group company or in connection with a merger or sale of business.
